Delivering value through model audit in digital infrastructure - Interogo Holding acquiring a stake in a data centre portfolio

Amberside Advisors has recently completed a high-profile model audit for a transaction in the digital infrastructure sector. Our team supported Interogo Holding AG during their recent acquisition of a minority stake in a significant European data centre portfolio, owned and operated by Data4.

Overview
Brookfield-backed Data4 is a European data centre operator, which owns and operates highly connected, resilient and sustainable data centre campuses across key regions. The mainly operational data centre portfolio within Data4 is comprised of hyperscale data centres in Paris, Madrid and Milan, with combined capacity of 244 MW.
The investment in Data4 was made by Interogo Holding’s investment fund Inter Infrastructure Capital II (IIC II) and advised by IH Infrastructure Advisors AG. The investment is managed by Inter Fund Management S.A.
Amberside Advisors’ role
Amberside Advisors were tasked with auditing the structurally complex transaction model, featuring a large number of standalone asset-level sites, each feeding into country-level summaries and ultimately rolling up into a consolidated portfolio valuation. With multiple layers of logic, including four tax jurisdictions, the audit of this model was non-standard and required a well-considered and executed plan to ensure each aspect of the model was captured.
Outcome
The financial close was announced on 1 August 2025, with Interogo Holding AG acquiring a significant minority stake in the Data4 portfolio.
